JOB SUMMARY:

HCA is seeking a Senior Counsel, Real Estate to provide legal service to the Company's Corporate Real Estate Department to ensure best practices and healthcare regulatory compliance in connection with real estate activities, including handling real estate transactions such as acquisitions, dispositions and developments of medical office buildings and other real estate, leasing and other real estate-related activities undertaken by the Company.

 

RESPONSIBILITIES:

 

Drafts and negotiates purchase and sale agreements and ground-leases for developments of, and ancillary closing documents, as needed for purchases and sales of, and ground leases for development by third of parties of, real estate and improvements, including medical office buildings, surgery centers, vacant land and other improved and unimproved real property, including reviewing title work, surveys and related closing information, and handling all aspects of closing from document preparation through closing. Includes ability to ensure compliance of such transactions (including any leases being assigned as part of such transactions) with applicable healthcare regulatory requirements (including Stark and Anti-kickback requirements).

Assists with space leasing matters and landlord/tenant leasing work of the Company as needed, including lease amendments and analysis of healthcare regulatory issues, and working with outside real property managers. Provides legal advice to the Managing Counsel, Real Estate and Vice President of Corporate Real Estate and all members of the Corporate Real Estate Department on ongoing and contemplated real estate transactions, including leasing, developments, buying and selling of real estate, condominium issues, etc.

Ensures compliance with internal Company policies regarding real estate matters.

Such other matters as may be requested by the Managing Counsel, Real Estate.

 

EXPERIENCE:

 

10 years of experience is needed for a successful candidate.

 

EDUCATION:

 

JD is required for a qualified candidate.

JD required, active U.S. law license, at least 5 years experience in real estate with healthcare regulatory expertise, major law firm or healthcare company experience preferred.
